The name of this not-for-profit, amateur athletic and educational association is the InLine Club of Boston, Inc. (hereinafter the "ICB").
The operations of the ICB are to be conducted principally in the United States of America. The purpose of the ICB is to promote and encourage the development of inline skating as a recreational activity and competitive sport in the Greater Boston area. ICB will undertake its purpose through actions and programs including:
1. organizing, publicizing and/or sponsoring safe, fun, and educational inline skating related activities, including recreational group skates as well as inline skating competitions and instructional skating programs;
2. disseminating information about inline skating and the ICB to skaters and to the general public, including guidelines for safe skating and etiquette required of skaters on multi-user trails (including "rail-trails");
3. acting as an information resource for the inline skating community;
4. facilitating efforts of other organizations with similar aims and objectives;
5. providing a unified voice for inline skaters in community affairs, and to encourage a favorable attitude towards inline skating on the part of public officials and to inform relevant policies and legislation in favor of such skating;
6. advocating and supporting the development of new public-access parks and trails that welcome inline skaters.
7. bringing together individuals and private and public organizations interested in the above-stated purpose.
Any person of good character who is interested in inline skating and supports the purpose of the ICB is eligible for membership. In addition to individuals, any corporation, organization or partnership interested in inline skating that supports the purpose of the ICB is eligible for membership, consistent with the terms and conditions of membership for these entities as determined by the Board of Directors (hereinafter, the "Board").
There shall be four (4) classes of membership: Individual, Family, Honorary, and Corporate.
Family memberships are available at reduced rates for additional persons residing at the same address as an individual member.
The Board may name Honorary Members, whenever appropriate, to individuals in recognition of outstanding contributions to the sport of inline skating, or for distinguished service in fostering the aims and objectives of the ICB. Honorary Members shall not have a vote in ICB matters.
Corporations and other entities may become Corporate Members and name up to three (3) of their employees to serve as Members. Such persons supported by Corporate Memberships shall be entitled to all rights, privileges and responsibilities of Individual Members.
To become and stay a Member in good standing, a person or entity must pay non-refundable Annual Dues, as established for various classes of membership by the Board.
Each Member in Good Standing has one (1) vote at the Annual Meeting. Each Member, although not required, is strongly encouraged to participate in and volunteer for ICB activities.
Membership in the ICB and participation in ICB activities is open to all persons regardless of gender, ethnicity, race, color, national origin, religion, age, or sexual orientation. All Members of the ICB must uphold this standard - the membership of any person not upholding this standard may be subject to termination in accordance with Section 3.8.
Any Member who fails to pay Annual Dues may be immediately suspended from Membership by the Board of Directors until such failure is cured. If that Member does not cure such failure within sixty (60) days, such Member will automatically lose all rights and privileges of Membership.
The rights and privileges of Membership in the ICB may not be sold, pledged, encumbered, assigned, or otherwise transferred by any Member.
The Board of Directors may, by a two-thirds (2/3) vote, immediately terminate any person's or entity's membership if the Board of Directors determines, in its sole judgment, such Member is not acting in the best interests of the ICB. The Board of Directors shall set forth in writing the reasons(s) for any decision to terminate that person's membership. At least thirty (30) days prior to the meeting at which the termination is to be voted upon, the Board of Directors must provide written notice to such person or entity, specifying the grounds for the proposed termination. That person or entity may appear before and be heard at such meeting.
